General
Please read all of the following terms and conditions of use ("Terms of Use"), which govern your access and use of this web site and related sites, products, and services provided by Sageworks (collectively, "Products"). By continuing to access or use the Products, you signify your acceptance of these Terms of Use. You also hereby acknowledge that you have read and understand the Privacy Policy and consent to Sageworks' collection and use of your personal information as set out therein. If you do not agree to the Terms of Use or Privacy Policy, you may not access or use the Products at any time. These Terms of Use are in addition to the specific terms and conditions that may apply to the products and services provided by Sageworks to you.

Sageworks is designed to help non-finance professionals make better decisions by providing easy-to-understand, plain language analyses.

It should not be used, however, for the following purposes:

• Loan Review - Sageworks can be used when extending credit but only in conjunction with a full credit analysis process.
• Major Capital Purchase Decisions - Before adding fixed assets to a company, substantial planning and thought should be applied by the principals of a company. Sageworks is only one tool that should be used in combination with other analytical tools and the advice of competent professionals, such as CPAs and bankers.
• Investment Decisions - While it is true Sageworks can be helpful as part of an investment decision, it would be a decidedly poor idea to rely solely on Sageworks (or any expert system) for making an investment decision. Please do not do so - use our reports in conjunction with other investment advice, information, and tools.

Sageworks and/or its subsidiaries will not be responsible for the content of any Sageworks report where:

• The text of our reports is modified by any outside party.
• Decision makers rely on Sageworks as their primary source of advice regarding business decisions. Sageworks must be used in combination with the advice of competent legal and finance professionals in order to be effective.

Sageworks and/or its subsidiaries collect and aggregate industry-specific data from third-party sources and store it anonymously:

• Sageworks will not publish or sell personally identifiable data (information that identifies a particular client/customer or other individual) without your express permission. However Sageworks reserves the right to and does create, publish, and sell/license industry information, financial models, and research based upon data that you provide. Company data provided by users will be rendered unidentifiable prior to such use. Sageworks may also use your report data to publish indexes and/or other reports that provide insight into private sector financial health.
• Do not enter data or other information into our systems or use our applications if you do not want your data or other information being used in this manner or contributed to our aggregate database.

Intellectual Property Sageworks, the Sageworks logo, and the names and content of Sageworks products referenced in the Products (Sageworks IP) are protected by trademarks, service marks, registered trademarks, copyrights, and/or other proprietary rights under U.S. copyright and other laws and treaties. Sageworks IP may not be used without the prior written approval of Sageworks.

Use of Data Sageworks reserves the right to use any data and information provided by users for internal statistical, quality control, and product development purposes as may be necessary or useful for supporting its products. In addition, Sageworks reserves the right to freely use, sell, distribute and otherwise exploit all data provided by users from which Sageworks has removed personally identifiable information. This may include future development of financial models derived from use of the financial data entered. Do not provide client data or other information that you do not want used in this manner or contributed to Sageworks' database.

Warranty and Indemnity Users represent and warrant that they have all necessary rights and authority to provide the data and information provided through the Products and to permit Sageworks to use such data and information as set forth in the Terms of Use. If you do not comply with this warranty, Sageworks’ sole remedy and your sole obligation will be to indemnify and hold Sageworks and its officers, directors, and employees harmless from and against any third-party claims, actions, investigations or liabilities (including damages, losses, costs, expenses, and reasonable attorneys’ fees) resulting from Sageworks’ possession or use of such data and other information (provided Sageworks permits you to defend Sageworks against any such claim). Users assume sole responsibility for results obtained from use of the Products and conclusions drawn therefrom. Users will indemnify and hold Sageworks and its officers, directors, and employees harmless from and against any claims, actions, investigations or liabilities (including damages, losses, costs, expenses, and reasonable attorneys' fees) resulting from use of the Products.

Modifications to These Terms of Use Sageworks reserves the right to amend, remove, or add to the Terms of Use at any time without notice. Such modifications shall be effective immediately upon posting. Therefore, users agree to review these Terms of Use regularly for changes. Continued access or use of the Products after modifications have been made will constitute user acceptance of the Terms of Use, as modified.
